Bertolli Nights In Official Rules

1. Eligibility: Bertolli Voting Phase Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry.  Employees of Conopco, Inc. d/b/a Unilever, MRM Worldwide, McCann Relationship Marketing, McCann-Erickson USA, Inc., Rocco DiSpirito, Spirit Media, ePrize, LLC, and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible.  Subject to all applicable federal, state, and local laws and regulations.  Void where prohibited.  Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes.  Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Timing: The Sweepstakes begins on April 10, 2008 at 12:01 a.m. Eastern Time ("ET") and ends on April 30, 2008 at 11:59 p.m. ET (the "Promotion Period").  Sponsor’s computer is the official time-keeping device for the Sweepstakes.

3. How to Enter: During the Promotion Period, visit http://www.bertollinightsin.com/ and follow the links and instructions to complete the registration.  Complete and submit the registration including a valid home address.  P.O. Boxes are not permitted.  Then, follow the links and instructions to vote for your favorite Bertolli Contest Finalist.  After submitting your vote, you automatically will receive one (1) entry into the Sweepstakes.  Limit: Each participant may enter one (1) time during the Promotion Period.  Multiple entrants are not permitted to share the same email address.  Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified.  Use of any automated system to participate is prohibited and will result in disqualification.  In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant or player.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.  The potential winner may be required to show proof of being the authorized account holder.

    

4.  Grand Prize Drawing: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential winner are final and binding in all matters related to the Sweepstakes.  Administrator will randomly select the potential Sweepstakes winner from all eligible entries received during the Promotion Period, on or around May 5, 2008.  The potential winner will be notified by email.  The potential winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Sponsor, within seven (7) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize.  If the potential winner cannot be contacted, or fails to sign and return the Affidavit of Eligibility, Liability & Publicity Release within the required time period, potential winner forfeits prize.   Potential winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements.  In the event that the potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries.  Only three (3) alternate drawings will be held after which the prize will remain un-awarded.   

5. Prize: ONE (1) GRAND PRIZE: A Trip for two (2) to New York, NY.  Trip package includes roundtrip, coach-class air transportation for two (2) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to New York, NY; two (2) nights accommodations at a hotel determined by Sponsor in its sole discretion (single room, double occupancy); car service to and from the airport and to and from the Bertolli Dinner and Your Movie Premiere and party (location determined by Sponsor in its sole discretion); and two (2) tickets to a movie premiere and premiere party (location and seating determined by Sponsor in its sole discretion).  Winner and companion must travel on dates determined by Sponsor.  Trip dates have not yet been determined and are subject to change.  If winner cannot travel on dates determined by Sponsor, winner forfeits the prize in its entirety.  Trip is subject to availability and blackout dates.  Travel must be roundtrip.  Sponsor will determine airline and flight itinerary in its sole discretion.  No refund or compensation will be made in the event of the cancellation or delay of any flight.  Travel and accommodations are subject to availability.  Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract.  All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner.  Unless child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner.  If winner is a minor in his/her state of residence, travel companion must be winner’s parent/legal guardian  Travel companion must execute liability/publicity releases prior to issuance of travel documents.  Travel restrictions, conditions and limitations may apply.  If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsors’ sole discretion.  Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor is not responsible if movie premiere, party, or meet and greet is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion.  Approximate Retail Value (“ARV”): $5,000. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.  Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason.  Winner is responsible for all taxes and fees associated with prize receipt and/or use.  Odds of winning the prize depend on the number of eligible entries received during the Promotion Period. 

6. Release: By receipt of any prize, winner agrees to release and hold harmless Sponsor, MRM Worldwide, McCann Relationship Marketing, McCann-Erickson USA, Inc., Rocco DiSpirito, Spirit Media, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize.

7. Publicity: Except where prohibited, participation in the Sweepstakes constitutes winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

8. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
 
9. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize.  If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, provided that if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein.  No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

10. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

12. Winner List: Winner List requests will only be accepted after the promotion end date (listed above) and no later than September 5, 2008.  For the Winner List, send an email with subject line: "E-Bertolli Voting Phase Sweepstakes, Winner List Request,” to WinListRequests@eprizefulfillment.com.

Eligibility: Bertolli Nights In Dinner and Your Movie Contest (the “Contest”) is open only to legal residents of the fifty (50) United States, and the District of Columbia who are at least eighteen (18) years old at the time of entry and who have access to video-capturing and editing equipment as of February 5, 2008. Employees of Conopco, Inc., d/b/a Unilever ("Sponsor"), MRM Worldwide, McCann Relationship Marketing, McCann-Erickson USA, Inc., Rocco DiSpirito, Spirit Media, ePrize, LLC ("Administrator") and any of their parent and affiliated companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.

2. Agreement to Official Rules: By participating in the Contest, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Contest. Whether an entrant receives a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Contest begins on February 5, 2008 at 12:00 a.m. Eastern Time ("ET") and ends on April 30, 2008 at 11:59 p.m. ET (the "Contest Period"). The Contest Period consists of a submission phase ("Submission Phase"), a judging phase ("Judging Phase") and a public voting phase ("Public Voting Phase") as set forth in the table below. Sponsor’s computer is the official time-keeping device for the Contest.

4. Contest Description: Consumers are being asked to submit videos explaining what a romantic night in means to them. They are being asked to tell Bertolli what ingredients go into making a romantic night in, using Bertolli Frozen Dinners as one of their ingredients. They will submit user-generated videos that will be posted on a microsite, www.BertolliNightsIn.com. A panel of judges will select the four (4) finalists with the most compelling stories about a romantic night in. Consumers will vote for their favorite story and the winning entrant will have his/her story turned into a short movie that will be shown in a movie theater. The winner will be flown to New York, NY twice. Trip #1 – winner and a guest will be on the set to watch the making of the story into a short movie. Trip #2 – winner and a guest will fly to New York, NY for the movie premiere.

5. How to Enter: There are two (2) ways to enter.

  1. Online: During the Contest Period, visit www.BertolliNightsIn.com and follow the links and instructions to complete the registration form including a valid home address. P.O. Boxes are not permitted. Once you complete the registration form, follow the links and instructions to upload and submit a short video telling Bertolli how you create a romantic night in, including Bertolli Frozen Dinners as one of the "ingredients (the “Submission”).
  2. Reconnection Booth: The Bertolli Nights In Studio is a mobile booth equipped with a mini-recording studio that will travel to different locations in February and March, 2008. For a complete list of dates and locations, visit www.BertolliNightsIn.com. During the Contest Period, if you see The Bertolli Nights In Studio, follow the instructions of the booth manager and/or screen prompter to complete and submit the registration form, including a valid home address. P.O. Boxes are not permitted. Once you complete the form, follow the instructions of the booth manager and/or screen prompter to use the camera in the booth to create a Submission, as described above. You will be permitted one (1) retake. You must decide within the first minute (60 seconds) if you wish to re-record your story.

The person who completes and submits the registration form is the entrant and must have the permission of any other person in the Submission. Regardless of method of entry, by completing and submitting the registration form, you agree 1) to authorize Sponsor to conduct a background check on you, and 2) that your Submission conforms to the Submission Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”).

Submission Guidelines:

  • The Submission must be in one of the following formats: .WMV, .AVI, .MOV, or .MPG;
  • The Submission must not exceed two (2) minutes in length;
  • The Submission must have a file size less than 100 MB;
  • The Submission cannot have been previously submitted in a contest of any kind or exhibited or displayed publicly through any means.

Content Restrictions:

  • The Submission must not contain material that violates or infringes another person’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • The Submission must not contain brand names or trademarks, other than Bertolli;
  • The Submission must consist solely of content created by entrant;
  • The Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous;
  • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • The Submission must not contain images or artwork not created by entrant;
  • The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where Submission is created.

For all Submissions: Failure of any Submission to comply with the above Guidelines and Restrictions, as determined by Sponsor and/or Administrator in their sole discretion, may result in the deletion of your Submission and disqualification from the Contest. All Submissions will become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor shall have the right to delete, edit, adapt and publish any or all of the Submissions, and may use them in any media without attribution or compensation to the entrant, his/her successors or assigns, or any other entity. ENTERING A SUBMISSION IN THIS CONTEST CONSTITUTES YOUR IRREVOCABLE ASSIGNMENT, CONVEYANCE AND TRANSFERENCE TO SPONSOR OF ANY AND ALL RIGHT, TITLE AND INTEREST IN THE SUBMISSION INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS. Sponsor is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Submissions. Such Submissions are void and will be disqualified. Sponsor, in its sole discretion, may feature any Submission submitted in this Contest at any time during, or after, the Contest Period on any related websites, in any promotional materials, whether related or unrelated to the Contest, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate for the operation and promotion of this Contest, except where prohibited by law.

6. Winner Determination:

  1. Judging Phase: During the Judging Phase, qualified judges determined by Sponsor (the “Judges”) will select the four (4) best Submissions (each a "Finalist") based on the following criteria (“Judging Criteria”): 50% story line appeal, 25% personality and presence and 25% mention/use of Bertolli Frozen Dinner in the Submission. In the event of a tie between two (2) or more Submissions, the entrant whose Submission received the highest story line appeal score will be deemed the winner of the tie. If necessary, Sponsor will use the personality and presence score to break a further tie, followed by the mention/use of Bertolli Frozen Dinner in the Submission score. The Judges' decisions will be final and binding. Potential Finalists will be notified of their selection via email, mail, overnight mail or telephone on or around April 9, 2008. Each Finalist will be asked to sign a Publicity Release and Background Check Release Form. Failure to return the properly executed form may result in disqualification, in Sponsor's sole discretion.
  2. Public Voting Phase: During the Public Voting Phase, the four (4) Finalists' Submissions will be posted on www.BertolliNightsIn.com and elsewhere online (locations of posting to be determined by Sponsor, in its sole discretion). Visitors to the site who are at least eighteen (18) years of age will be invited to register and vote for their favorite Submission. Limit: Each voter may vote only one (1) time during the Public Voting Phase. Subject to the Finalist’s and his/her Submission's full compliance with these Official Rules, the Submission that received the highest number of votes will be deemed the potential Grand Prize winner. The remaining eligible Finalists will be Finalist Prize winners. In case of a tie, the Sponsor, in its sole discretion, will select the potential Grand Prize winner from the tied Entries based on the story line appeal score received during the Judging Phase followed by personality and presence score, and finally the mention/use of Bertolli Frozen Dinner in the Submission score, if necessary. Multiple voters are not permitted to share the same email address. Use of any automated system to vote is prohibited. Sponsor is not responsible for lost, late, incomplete, invalid, or misdirected votes, which will be deemed void.

7. Winner Requirements: Each potential Grand or Finalist Prize winner must continue to comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. Each potential winner will be notified by email, mail or phone on or about May 1, 2008. In Sponsor’s discretion, each potential winner will be subject to a background check to confirm his/her appropriateness (as solely determined by Sponsor) to represent Sponsor's brand and product. Sponsor reserves the right, in its sole discretion, to disqualify the potential Grand Prize winner based on the results of this background check. Except where prohibited by law, each potential Grand or Finalist Prize winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Administrator, within five (5) business days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. If a potential winner cannot be contacted, or fails to sign and return the Affidavit of Eligibility, Liability & Publicity Release within the required time period, potential winner forfeits prize. In the event that the potential Grand or Finalist Prize winner is disqualified for any reason, the Finalist whose Submission earned the next highest number of votes will be deemed the alternate potential winner. Acceptance of any prize shall constitute and signify the winner’s agreement and consent to Sponsor’s use of the winner’s story, name, city, state, likeness, Submission, photos and/or prize information in connection with the Contest worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law.

8. Prizes: ONE (1) GRAND PRIZE: Grand Prize winner will receive two (2) trips for two (2) people to New York, NY.

The first trip will be to attend the filming of the story into a short movie (2-5 minutes in length) inspired by the winner's Submission ("Movie Shoot Trip"). The Movie Shoot trip package includes the “Full Star Treatment”: roundtrip, first-class air transportation for two (2) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to New York, NY; luxury ground transportation to and from the airport and to and from the shoot (determined by Sponsor in its sole discretion); two (2) nights accommodations at a luxury hotel (determined by Sponsor in its sole discretion) (single room, double occupancy); a dinner for two (2) at a top New York restaurant (restaurant, date and menu determined by Sponsor in its sole discretion); $2,000 spending money; and attendance onset for the making of the movie.

The second trip will be for the short movie premiere (“Movie Premiere Trip”). The Movie Premiere package includes the “Full Star Treatment”: roundtrip, first-class air transportation for two (2) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to New York, NY; luxury ground transportation to and from the airport and to and from the premiere (determined by Sponsor in its sole discretion); two (2) nights accommodations at a luxury hotel (determined by Sponsor in its sole discretion) (single room, double occupancy); a dinner for two (2) at a top New York restaurant (restaurant, date and menu determined by Sponsor in its sole discretion); $2,000 spending money; tickets to the premiere of the short movie (seating determined by Sponsor in its sole discretion); and a credit of $500 each for winner and guest for spa services at the hotel spa.

Winner must travel on dates determined by Sponsor that will occur prior to for Movie Shoot Trip, and prior to for Premiere Trip. If winner does not travel on dates determined by Sponsor for each trip, winner forfeits that portion of the prize. Trips are subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline(s) and flight itineraries in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by the Sponsor’s airline carrier(s) of choice as detailed in the passenger ticket contract. Sponsor is not responsible if short movie shoot or premiere is delayed, postponed or cancelled for any reason, in which event Sponsor, in its sole discretion, may elect to award a cash prize alternative of equal or greater value. Approximate Retail Value: $20,000. Actual value may vary based on airfare fluctuations and distance between departure and destination. If winner is unable to take one (1) of the trips, he or she may elect to receive a $5,000 cash substitute. Limit: Only one (1) substitute prize permitted.

THREE (3) FINALIST PRIZES (one (1) for each of the other Finalists): $1,000.

Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize or prize component for one of equal or greater value if the designated prize should become unavailable for any reason. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software or any technical failures related to The Bertolli Nights In Studio or Submissions created therein; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or useor misuse of any prize. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. 3. How to Enter: Visit www.BertolliNightsIn.com and follow the links and instructions to complete and submit the registration, including a valid home address. P.O. Boxes are not permitted. You will automatically receive one (1) Sweepstakes entry. Each entrant may receive one (1) entry per day during the Promotion Period. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified at Sponsor’s sole discretion. Use of any automated system to participate is prohibited and may result in disqualification at Sponsor’s sole discretion.
